Legal · Working draft for solicitor review
Terms & Conditions
Draft updated 20 October 2026 · Not solicitor-approved · Do not publish until reviewed and confirmed.
Important solicitor-review points
The Founding Member Pilot cancellation and refund terms, statutory consumer rights, early-start process, liability, tax treatment, payment disclosures and privacy handling require review by a UK solicitor. These are working terms for review, not approved legal advice. Where a mandatory legal right applies, nothing in these terms is intended to remove it.
1. Who we are and these terms
“Carter Connects”, “we”, “us” and “our” mean Carter Connects, the trading name of Trevor Carter, a sole trader. These Terms apply to use of www.carterconnects.com, applications to a Carter Connects programme, and services supplied by Carter Connects, subject to any separate written agreement or order terms which apply to a particular service.
By submitting an application, requesting a service or purchasing a pathway, you agree to the terms applicable to that activity. An application is not an offer of membership and does not create a contract for a paid service. A paid service begins only after our acceptance and the agreed order or subscription is confirmed.
Carter Connects is primarily intended for founders, business owners, executives and professionals acting for business purposes. However, an individual may be a consumer in law depending on the circumstances. Nothing in these Terms excludes any consumer protection or statutory cancellation right that applies to an individual.
2. What Carter Connects does
Carter Connects is a relationship-led professional networking and matchmaking service. We help founders and business leaders identify relevant people and relationships, consider whether an introduction may be appropriate, and, where there is a genuine fit and the people involved agree, facilitate a warm introduction.
Any introduction depends on suitability, relevance, timing, availability, the relationship route and the consent of the people concerned. We may decide not to make or pursue an introduction. Applicants and members do not automatically gain access to the full network; access to information is limited to what is permitted for their account and relevant to the service.
No outcome is guaranteed. Applying, paying a fee or receiving a service does not guarantee acceptance, an introduction, a referral, a customer, a client, revenue, funding, investment, a transaction, or any particular business or personal outcome. Each party should make its own assessment and due diligence.
3. Programmes and pathways
Current pathways and their approved published prices are summarised below. The precise scope of an individual order is the description shown when you apply or purchase, together with any separate written agreement.
| Pathway | Price | Scope and important limits |
|---|---|---|
| Single Introduction | £197 one-off | A focused request around a specific business need, with personal review and relevant connection research. A warm introduction may be facilitated where a genuine fit exists; the fee is not a guarantee that an introduction will be made. |
| Retainer | £297 per month | Ongoing Carter Connects support, introduction strategy, regular connection requests, personal review, relevant opportunity identification, relationship-development support and priority consideration. Private Expert Sessions are not included in this pathway. |
| VIP Connects | £497 per month | Priority introduction requests, multiple introduction opportunities, personal review, targeted connection research, strategic introduction support, context around introductions and priority consideration. Includes access to private Carter Connects Expert Sessions featuring invited experts sharing practical knowledge and insights with the community; attendance is subject to registration and available capacity, with priority booking where capacity is limited. No fixed number of sessions is promised. |
| Carter Connects Access | £97 one-off | A limited introductory pathway offered for a 90-day period, as described on its page. Its stated scope is limited and does not guarantee an introduction or any other outcome. |
| Founding Member Pilot | £97 single payment for 30 days | A separate, limited founding group pilot. It is not a subscription, does not renew automatically and does not convert to the £297 per month Retainer. It provides onboarding to the Carter Connects membership process, review of connection priorities, consideration of possible relevant introductions where a suitable route exists and both parties agree, and an opportunity to give feedback. No number of introductions or business outcome is guaranteed. Any ongoing membership requires separate, explicit agreement. |
| Networking Partner | Free to apply | A separate, reviewed programme for professionals and organisations who may be relevant to the wider network. Applying does not guarantee acceptance or any introductions. It is distinct from paid membership and the Business Leader / Specialist programme. |
| Business Leader / Specialist | £97/month for the first 3 months, then £197/month standard; 3-month minimum commitment | A separate, paid, curated specialist participation programme. Acceptance is subject to Carter Connects' review. Payment does not confer approval or guarantee recommendations, referrals, introductions, clients or other outcomes. Its initial controlled test is limited to 5–10 participants, with onboarding managed manually. |
Prices are stated in pounds sterling. Whether displayed fees include VAT, the precise payment schedule, and any other applicable taxes or charges must be stated clearly before an order is placed; confirm the applicable tax treatment before publication. No price or payment arrangement is changed by these Terms alone.
4. Applications, review and acceptance
Applications are reviewed personally by Carter Connects. We may ask for further information or invite an applicant to a conversation where there appears to be a potential fit. Acceptance is at Carter Connects' discretion and will be confirmed directly. We may decline an application; an application does not itself create a right to membership.
Payment is never treated as approval. Applicants must not describe themselves as accepted or approved until Carter Connects has expressly confirmed acceptance. We may set eligibility, capacity and onboarding requirements for a programme and may pause applications when capacity is reached.
5. Fees, billing, renewal and cancellation
Single Introduction and Carter Connects Access are described as one-off fees. Retainer and VIP Connects are monthly subscriptions at the prices shown for the relevant pathway. The Business Leader / Specialist programme has a three-month minimum commitment at £97 per month for the first three months, followed by the standard rate of £197 per month, then continuing on a rolling monthly basis unless cancelled. The introductory and subsequent rates must be brought clearly to the applicant's attention before they commit.
Recurring membership billing and account management are handled through Outseta and Stripe where configured for the relevant service. The payment screen or written order should identify the amount, billing frequency, start date, minimum term (if any), renewal and how to cancel. A payment confirmation is not a membership approval.
The current operating arrangement is that recurring cancellations are managed by the member through their Outseta account and take effect at the end of the paid billing period. A seven-day grace period is allowed for a failed recurring payment before access may be suspended. These operational terms, including the treatment of a cancellation during a minimum commitment, the renewal and price-transition notices, and how a suspension affects outstanding fees, require UK solicitor review and must be consistent with the checkout disclosures.
Founding Member Pilot payment and term: the pilot is a single £97 payment for a fixed 30 day period. The specific start and end dates must be completed in the Founding Member Pilot Agreement and shown to the applicant before payment. The pilot is not a subscription. It will not renew automatically, charge another payment, or convert to the £297 per month Retainer. Any later membership is optional and requires a separate agreement and separate payment authorisation.
Consumer cancellation period: if you are a consumer and the pilot contract is made at a distance, you may have a statutory right to cancel within 14 days beginning the day after the contract is made. The completed Agreement and pre payment information must explain how to cancel and where to send the request. The current contact address proposed for cancellation notices is info@carterconnects.com; Carter Connects must confirm this inbox is monitored and that the route is operational before accepting payment. Nothing in these terms limits a mandatory statutory right.
Request to start during the 14 day period: the pilot will not begin during the statutory cancellation period unless, after acceptance and before payment or service commencement, you make a separate, optional, unticked request for the service to start early and separately acknowledge the applicable cancellation consequences. Payment alone is not that request or acknowledgement. The request and acknowledgement must be recorded and made available to you. If you cancel after asking for an early start, any amount due for service already supplied will be calculated only as permitted by law and explained before you agree to early commencement. If the service is fully performed within the cancellation period, any further acknowledgement required by law must be obtained separately. These requirements are subject to solicitor confirmation.
Cancellation and pilot refunds: you may ask to end the pilot by emailing the cancellation contact stated in your completed Agreement. In addition to any statutory right, the proposed pilot refund policy is to return the unused part of the £97 fee, calculated by calendar days: £97 multiplied by the unused days remaining in the agreed 30 day period, divided by 30 and rounded to the nearest penny. Days elapsed will be calculated from the agreed start date and capped at 30. Any lawful charge for service already provided during a statutory cancellation period will be calculated separately and will not exceed the amount permitted by law. Refunds will be made using the original payment method within 14 days after Carter Connects receives your cancellation notice, or earlier if the law requires. The exact deadline and any exceptions require solicitor confirmation. Carter Connects may consider fair, documented case by case exceptions or a more favourable goodwill refund. This policy does not reduce any statutory right.
Before payment: the applicant must be able to read the completed Founding Member Pilot Agreement, these Terms and the Privacy Policy before committing. The checkout must clearly repeat the £97 single payment, the named 30 day start and end dates, the cancellation and refund information, and the separate early start choice if offered. An application alone is not acceptance, payment or early start consent.
Solicitor review required: confirm the 14 day cancellation calculation, how the statutory period is triggered, compliant early start request and acknowledgement wording, refund calculation and timing, post cancellation position, any exceptions, VAT display, the payment flow, and that the cancellation email is monitored. Confirm the final text against the Founding Member Pilot Agreement and the actual checkout before use.
6. Refunds, failed payments and chargebacks
Refund requests are considered fairly on their circumstances, the service supplied or yet to be supplied, the applicable order terms and any statutory rights. Carter Connects does not intend to exclude refunds or remedies required by law. A final refund policy and any eligibility, timing and process must be confirmed by a UK solicitor before publication.
The pilot specific proposed refund calculation and case by case goodwill approach are set out in section 5. If another offer or a separate written agreement has different refund terms, its terms must be shown before payment and checked for consistency. Mandatory statutory rights always take priority.
Where a recurring payment fails, the current operating policy allows a seven-day grace period. We may contact the member to resolve the payment issue and may suspend access if it remains unpaid after that period, subject to applicable law and the contract terms. A chargeback is reviewed individually and may lead to a request for information or a proportionate access review; it does not automatically remove any legal right.
Solicitor review required: final refund policy, statutory remedies, failed-payment notices and chargeback process.
7. Member responsibilities and conduct
Applicants and members must provide accurate, up-to-date information and use Carter Connects professionally and lawfully. They must not:
- Misrepresent their identity, experience, business, authority or purpose.
- Use contact or member information to send unsolicited bulk communications, spam, or unrelated commercial solicitation.
- Harass, discriminate against, threaten, defraud or otherwise harm another person.
- Share confidential or personal information they are not authorised to disclose.
- Attempt to bypass access controls, scrape member information, or use the service in a way that compromises security or another person’s privacy.
- Present an introduction, discussion or opportunity as an endorsement, investment recommendation or assurance by Carter Connects.
Members are responsible for their own decisions, representations and due diligence. Carter Connects does not act as a party to a transaction between members unless a separate written agreement says otherwise.
8. Introductions, confidentiality and third parties
Before facilitating a potential introduction, Carter Connects considers relevance and context and may share limited professional information where appropriate. We will not provide members automatic access to the whole network. Information should be shared only where permitted for the account and service, and introductions remain subject to the participants' agreement and any applicable privacy notice or consent.
Each participant should respect information communicated in confidence, use it only for the purpose for which it was shared, and obtain permission before forwarding or publishing it. Confidentiality does not apply to information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law.
Introduced parties are independent of Carter Connects. We do not control or warrant a third party's conduct, statements, services, financial position or suitability. Members should verify information and obtain professional advice appropriate to their own circumstances before entering a transaction or relying on another party.
9. Data protection and privacy
We handle personal information as described in our Privacy Policy. Application information may be reviewed to assess fit, make decisions about acceptance, communicate with applicants and deliver the requested service. HubSpot is used for application and CRM handling on relevant routes; Outseta and Stripe support membership, authentication and payment flows where configured. The exact roles, purposes, retention periods and sharing arrangements are described in the Privacy Policy and must be kept current.
Members must not use personal information they receive through a Carter Connects relationship for a purpose incompatible with the introduction or contrary to the relevant privacy information or law.
10. Intellectual property
Unless stated otherwise, Carter Connects and its licensors own or are authorised to use the website's text, branding, design and materials. You may view and use them for your personal or internal business purposes in connection with the service. You must not copy, republish, sell or commercially exploit them without prior permission, except where the law permits.
You retain rights in material you submit. You grant Carter Connects permission to use it only as reasonably needed to review your application and provide the service, subject to the Privacy Policy and any separate written agreement. Any wider use, such as a public profile or presentation recording, should be agreed separately.
11. Suspension and termination
We may restrict or suspend access where reasonably necessary to protect people, information, the integrity of the network, or to address a serious breach, security risk, or overdue payment. Where practicable, we will explain the reason and give an opportunity to resolve the issue. A restriction should be proportionate to the concern and does not affect rights that cannot lawfully be limited.
Either party may end a service in accordance with its applicable subscription or order terms. Termination does not remove payment obligations already properly due or statutory rights relating to services already paid for. Any effect on unused services or fees is subject to the applicable terms and legal rights, and is a matter for solicitor confirmation in the final cancellation and refund policy.
12. Liability
We will provide services with reasonable care and skill where the law requires. We are not responsible for a third party's decisions or conduct, or for a business result that depends on factors outside our control. This does not exclude responsibility for our own failure to meet an applicable legal duty.
Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or a consumer's mandatory rights. Any other exclusion or cap must be reasonable, fair, brought clearly to the customer's attention and appropriate to whether the customer is acting as a consumer or for business purposes. No final monetary cap is inserted in this draft; it requires UK solicitor advice and must not be treated as an approved blanket exclusion.
We are not liable for an introduction failing to proceed or for funding, investment, revenue, clients, referrals or other outcomes not being achieved, except to the extent a loss results from a liability that cannot lawfully be excluded or limited.
Solicitor review required: assess fairness, enforceability and any appropriate business/consumer liability wording and cap. Do not rely on this draft as a final exclusion.
13. Complaints, changes and disputes
If you have a concern or complaint, contact us using the details below and describe the issue and the outcome you are seeking. We will review it and try to resolve it fairly. A solicitor should confirm whether a formal complaints procedure or additional consumer information is required for the services offered.
We may update these Terms to reflect changes to our services or legal requirements. Material changes will be communicated appropriately and will not retrospectively remove rights already accrued. The applicable version should be available before a customer applies or purchases.
14. Governing law and contact
These Terms are intended to be governed by the law of England and Wales. Courts in England and Wales may hear disputes, subject to any mandatory jurisdiction or consumer rights that apply to an individual. A UK solicitor should confirm the governing-law and jurisdiction wording for business and consumer customers.
